GENERAL TERMS AND CONDITIONS OF SALE

Hereinafter referred to as “WestLake” or the “Service Provider.”

Hosting provider: Shopify International Limited, Victoria Buildings, 2nd Floor, 1-2 Haddington Road, Dublin 4, D04 XN32, Ireland.

Article 2 — Purpose and Scope

2.1 These General Terms and Conditions of Sale govern all graphic design services offered by WestLake, whether provided as one-time services or monthly subscriptions.

2.2 Any order constitutes unconditional acceptance of these General Terms and Conditions. The Client acknowledges having read them before validating the order, such acceptance being evidenced by a time-stamped checkbox retained with the order.

2.3 WestLake reserves the right to modify these General Terms and Conditions at any time. The terms applicable to the order are those in force on the date the order is placed.

2.4 These terms apply to both consumer and professional clients. The provisions relating to the right of withdrawal, in Articles 8 and 9, apply only to consumers within the meaning of the French Consumer Code.

3.2 — Monthly Subscriptions

3.3 The precise content of each service is that described on the product page on the date the order is placed. The visual presentations displayed on the website have no contractual value.

3.4 WestLake reserves the right to change its prices at any time. Services are invoiced according to the price in effect on the date the order is placed. For subscriptions, any price change will be notified to the Client at least thirty days before it takes effect.

Article 4 — Orders

4.1 The Client selects the desired services, checks the contents of the shopping cart, accepts these General Terms and Conditions, and proceeds with payment.

4.2 The order becomes firm and final upon receipt of payment. WestLake sends the Client a confirmation email summarizing the order and containing a link to the brief questionnaire.

4.3 WestLake reserves the right to refuse an order for a legitimate reason, including in the event of a previous dispute, a manifestly unlawful request, a request contrary to public order or accepted standards of morality, or a request that infringes the rights of third parties. In such cases, the Client will receive a full refund.

Article 5 — The Brief: Condition for Starting the Service

5.1 After payment, the Client receives a link to a brief questionnaire. The questionnaire takes approximately ten minutes to complete. The Client undertakes to complete it accurately and fully.

5.2 Delivery times begin upon receipt of the completed brief, and not on the date of the order.

5.3 If the brief is incomplete or ambiguous, WestLake will request the necessary clarifications. The delivery period will then be suspended until the missing information is received.

5.4 If the brief has not been submitted within three months from the date of the order, WestLake may consider the service cancelled and closed, without refund, following a reminder that has remained unanswered for thirty days.

Article 6 — Performance and Delivery Times

6.1 Delivery times are expressed in hours or business days and begin upon receipt of the completed brief.

6.2 WestLake undertakes to acknowledge receipt of each request within twenty-four business hours.

6.3 If a delivery deadline attributable to WestLake is exceeded, the Client will be informed without delay. Compensation will be offered: a credit for the affected period for subscriptions; for one-time services, if the delay exceeds forty-eight unjustified hours, the Client may request cancellation and a full refund.

6.4 WestLake shall not be held liable for delays resulting from force majeure, insufficient information provided by the Client, or a delay by the Client in approving a stage of the project.

Article 7 — Revisions

7.1 The number of included revision cycles is that indicated on the product page or in the subscription plan selected:

• One-time services and the Essential plan: two revisions per deliverable
• Signature and Ecosystem plans: three revisions per request

7.2 A revision means a set of adjustment requests submitted at the same time and relating to the initial scope of the order.

7.3 Where a deliverable does not comply with an explicit requirement stated in the brief, the revision cycles necessary to bring it into compliance will not be deducted from the included revisions. Such corrective work will be carried out at WestLake's expense.

7.4 Requests that exceed the initial scope, including a change of creative direction after approval of a concept, constitute a new service and are subject to an additional quotation.

7.5 WestLake undertakes to process each revision request within six business hours.

Article 8 — Right of Withdrawal

8.1 In accordance with Article L221-18 of the French Consumer Code, a consumer Client has a period of fourteen days from the conclusion of the contract to exercise their right of withdrawal, without having to provide a reason or incur any costs.

8.2 This right may notably be exercised through the withdrawal functionality permanently accessible on the website, in accordance with Article L221-21 of the French Consumer Code, via the “Withdraw from Contract” button displayed on all pages, or by any other unambiguous means sent to contact@westlakestudiodesign.com.

8.3 An acknowledgment of receipt will be sent to the Client on a durable medium upon receipt of the withdrawal request.

8.4 The refund will be made no later than fourteen days after receipt of the request, using the payment method used for the order, unless the Client expressly agrees to another method.

Article 9 — Waiver of the Right of Withdrawal

9.1 As WestLake's services are performed within twenty-four to seventy-two hours, and therefore before the expiry of the withdrawal period, the Client is invited at the time of purchase to expressly request immediate performance of the service.

9.2 In accordance with Article L221-25 of the French Consumer Code, a Client who has made this express request and acknowledged that they would lose their right of withdrawal once the service had been fully performed may no longer exercise that right after the deliverable has been fully delivered.

9.3 This double consent is obtained through a separate, time-stamped checkbox completed before payment. It is retained and attached to the order.

9.4 If the Client exercises their right of withdrawal after the service has started but before it has been completed, they remain liable for an amount proportionate to the work already performed, in accordance with Article L221-25, paragraph 2, of the French Consumer Code.

9.5 — Calculation Scale

The amount retained is determined according to the progress of the service as of the date the withdrawal request is received:

In the event of partial withdrawal, no files will be delivered and no rights will be transferred to the Client.

Article 10 — Intellectual Property and Transfer of Rights

10.1 Upon full payment for the service, WestLake assigns to the Client all economic copyright rights in the delivered creations, including:

• The right of reproduction, by any process and on any medium;
• The right of representation, by any means;
• The right of adaptation and modification;
• The right to use the creations as a trademark, design or model;
• The right to transfer the rights to any third party.

10.2 The assignment is granted worldwide and for the entire statutory period of copyright protection.

10.3 The Client may register the creations as a trademark with any national or international intellectual property office.

10.4 In accordance with applicable law, the author's moral rights remain inalienable.

10.5 WestLake guarantees that it holds all rights being assigned, its collaborators having previously assigned their rights to WestLake under written agreements.

10.6 Until full payment has been received, WestLake retains full ownership of the creations. Any use before full payment constitutes infringement.

10.7 Fonts, stock images and third-party elements potentially incorporated into the creations remain subject to their own licenses. WestLake does not provide the corresponding files but provides the Client with the precise references required to acquire them.

Article 11 — Originality of the Creations

11.1 WestLake guarantees that the delivered creations are original and created by human designers.

11.2 WestLake prohibits the use of generative artificial intelligence tools for the creation of delivered logos, symbols, illustrations and typographic compositions. This prohibition is contractually binding on its collaborators.

11.3 WestLake guarantees the Client against any third-party claim based on an infringement of intellectual property rights arising from the delivered creations.

11.4 The Client guarantees that they hold the necessary rights to any elements they provide, including their trade name and any visual material supplied.

Article 12 — Subscriptions

12.1 — Operation

The subscription provides access to a volume of services defined by the selected plan. Requests are placed in a queue and processed according to the terms of the selected plan.

12.2 — No Carryover

Unused monthly volume does not carry over to the following month, as production capacity is reserved for the Client during the relevant period.

12.3 — Renewal

The subscription automatically renews each month on the anniversary date of the subscription, by charging the agreed amount.

12.4 — Cancellation

The subscription has no minimum commitment period. The Client may cancel it at any time from their customer account or by writing to contact@westlakestudiodesign.com.

Cancellation takes effect at the end of the current, already-paid billing period. No pro-rata refund is made for the period already started.

12.5 — Plan Changes

The Client may change their plan at any time. The change takes effect from the following billing period.

12.6 — Suspension for Non-Payment

In the event of a failed payment, WestLake will inform the Client and suspend access to the services until payment has been regularized. After thirty days of non-payment, the subscription will be automatically terminated.

Article 13 — Payment

13.1 Prices are stated in US dollars. VAT is not applicable pursuant to Article 293 B of the French General Tax Code.

13.2 Payment is made in full at the time of purchase by bank card.

13.3 Payments are processed by a certified secure payment provider. WestLake has no access to the Client's banking information.

13.4 In the event of late payment by a professional Client, penalties equal to three times the French statutory interest rate shall apply, together with a fixed recovery fee of €40.

Article 14 — Delivery

14.1 Services are exclusively digital. Deliverables are transmitted electronically to the email address provided by the Client. No physical shipment is made and no delivery fee is charged.

14.2 WestLake retains the files for twelve months from the date of delivery. After this period, the Client is responsible for retaining and backing up their files.

14.3 The Client is responsible for checking the conformity of the files upon receipt and reporting any issue within eight days.

Article 15 — Liability

15.1 WestLake is subject to an obligation of means in the performance of its services.

15.2 WestLake shall not be held liable for:

• The consequences of an incomplete, inaccurate or misleading brief;
• The use made of the creations by the Client after delivery;
• The absence of prior-art or trademark availability searches, which are not included in the services, unless expressly stated otherwise;
• A refusal to register a trademark by an intellectual property office;
• The consequences of printing carried out without prior approval of a proof.

15.3 Before any significant commercial use and before filing a trademark application, the Client is responsible for having a prior-art search carried out by an intellectual property attorney or other qualified industrial property professional.

15.4 In any event, WestLake's liability is limited to the amount paid for the service concerned.

Article 16 — Confidentiality

16.1 WestLake undertakes to keep confidential all information provided by the Client and to disclose it only to collaborators assigned to the project, who are themselves bound by contractual confidentiality obligations.

16.2 WestLake reserves the right to display completed creations as references on its website and communication materials. The Client may object to this by simple written request, either before or after delivery.

Article 17 — Personal Data

The processing of personal data is described in the Privacy Policy available on the website.

Article 18 — Complaints and Mediation

18.1 Any complaint may be sent to contact@westlakestudiodesign.com. WestLake undertakes to respond within fifteen days.

18.2 In accordance with Article L612-1 of the French Consumer Code, consumer Clients may use the consumer mediation service to which WestLake belongs free of charge:

Article 19 — Applicable Law and Jurisdiction

19.1 These General Terms and Conditions are governed by French law.

19.2 In the absence of an amicable resolution, any dispute shall be brought before the competent courts. For consumer Clients, the statutory rules regarding jurisdiction shall apply.

Article 20 — Miscellaneous Provisions

20.1 If any provision of these General Terms and Conditions is declared null and void, the remaining provisions shall remain in full force and effect.

20.2 The failure by WestLake to enforce any provision shall not constitute a waiver of its right to enforce that provision at a later date.
